Head - Corporate Finance

Purpose

Evaluate long- and short- term needs and raise an appropriate type of capital fitting those needs

Strategic Roles

- Support time- and cost-effective completion of projects by planning and provisioning project finance at optimal cost;

- Raise debt or equity or hybrid convertible funds factoring degree of success in achieving - hurdle rate- which have implications on cashflows, impact P&L and risk enterprise valuation

- Plan and drive transactions for raising capital to create, develop, grow or acquire businesses; allocate capital resources to increase value to client's shareholders

Operational Roles

Capital Budgeting

- Set criteria about which value-adding projects should receive investment funding

- Plan and evaluate mode (equity or debt) to finance that investment

- Participate in the financial evaluation of new projects that are underbidding

- Build financial models for evaluation of RFPs; perform IRR and NPV analysis, sensitivity analysis, scenario modelling for assessing the financial viability of projects

Project Financing

- Plan for and implement plans for financing/refinancing/ restructuring of loans from FIs and banks

- Raise funds (PE, QIP, bonds, ECP, structured finance etc) from across the Globe after factoring degree of success in achieving - hurdle rate- cashflows, risks to P&L and valuation of the Company

Working Capital Management

- Manage cash and short-term borrowing and lending

- Monitor utilization and investment of funds

- Maintain relations with banking and investor community

- Participate in diligence studies for structured and regular (initial or annual) credit rating

M&A, JV activity

- Conduct secondary research, company profiling, benchmarking and such for targeting M&A prospects

- Perform asset or company valuation, portfolio valuation through DCF, NPC, SOTP, comparable company etc

- Perform valuation of intangible assets and analyze goodwill impairment

Tactical Roles

- Maintain relations with business leadership, banks, auditors, consultants etc

Brief Candidate Profile.

- CA or MBA F with ~5 years of work experience in raising debt funds

- Should have been Head of Corporate Finance or a senior & capable #2

- Hands-on and capable to manage independently

- Experience in the treasury, FOREX management may be useful

- Experience in M&A, the formation of JVs, the formation of subsidiaries and such allied work

Relevant Experience.

- Should have hands-on experience in raising debt funds from a variety of sources

- Should have effectively managed relations with banks and financial institutions in ensuring availability of short- and long- term funds

- Should have managed investors and other critical stakeholders engaging with them in arriving at right investment decisions

Key Deliverables.

- Cost of funds;

- Valuation at SPV or at enterprise level

- Reducing the cash conversion cycle (days between cash payments to cash collections)

Key Technical Competencies.

- Financial modeling;

- Well informed about contemporary methods of raising funds

- M&A;

- Contract documentation involved during formation of JVs or subsidiaries (legal support would be available)

Key Behavioral Competencies.

- Independent and hands-on

- Effective written and spoken communicator;

- Strong relationships orientation; negotiation to drive win-win outcomes
