We are looking for candidates from leasing companies or law firm.

Responsibilities:

(I) LEGAL:

1. Documentation:

• drafting contracts of financial lease and other financial products (installment credit, factoring, loan and related collateral contracts);
• prepare bespoke documentation for vendore agreements and specific high value transactions;
• in conjunction with company’s Corporate Legal Department in the HQ, prepare local agreements to pan European Vendor Agreements to ensure compliance with Russian law and local requirements;
• maintain a document, contract and policy library.

2. Be fully conversant with all relevant aspects of Russian civil and insolvency law.

3. Monitor changes in relevant Russian legislation and court practice and udjust templates and procedures accordingly.

4. Conduct, supervise and co-ordinate litigations started by the company, or where the company is party to litigation, except for litigations against clients. Back-up the lawyer from Collection and Recovery Department in litigations against clients.

5. Fulfill the role of corporate secretary and be responsible for corporate housekeeping.

6. Participate as a non-voting member in the company’s Credit Committee and Risk Commitee and provide upon request concise written analysis of the specific risks of a proposed structure. Consider and provide methodologies for structuring proposals and transactions whilst not increasing company’s risk; due diligence on new products/structures;

7. Contribute to the company’s European and Global Legal network and provide advice and support as requested by Corporate Legal Department in HQ; participate in Global Quality Circles (face-to-face meetings) with other legal counsels from 25+ other countries, monthly conference calls with European legal counsels and other forums for exchanging information.

8. Provide training sessions for front and back office.

Reporting line for legal function: Country manager Russia and Vice-President Legal Europe.

(II) COMPLIANCE:

1. Establish and implement rules, process and procedures according to both local and international requirements, monitore their fulfillment; choosing the appropriate IT solutions for AML, CDD and Sanctions screening.

2. Communication with government authorities;

3. Data Protection officer: drafting local policies, coordination with local authorities

4. Provide relevant training sessions to the company’s employees.

5. Make a valid contribution to company’s European Compliance network and provide advice and support as requested by Corporate Compliance in HQ; participate in pan-European Quality Circles (face-to-face meetings) with other LCOs, monthly conference calls with the European LCOs and other forums for exchanging information.

Reporting line for Compliance function: Country manager Russia and Regional Compliance Officer Europe

(III) MANAGERIAL:

1. Participate in the Management Team meetings as a Managent Team Member.

2. Manage and support the AML Officer, reporting to the LCO.

3. Coordinate work with external legal consultants.

Applicant Profile

• a Russian qualified lawyer with fluent English (writing and verbal),
• 10+ years of legal practise;
• 3+ years of experience in a Leasing Company or in a private law firm with leasing specialisation;
• Good knowledge of Russian civil and international private law, sustainable level of knowledge in procedural and tax law;
• advanced drafting skills in both Russian and English; a clear ability to produce concise and clear documents without reducing enforceability;
• able to communicate with local and foreign colleagues from various departments;
• good analytical skills;
• offer guidance and coach individuals to better understand the logic behind the changes of the legal environment and the importance of accurate documentation;
• ability to work in an international environment;
• team player, cooperative, enthusiastic, proactive and accurate.

Compensation package:

• Monthly gross salary
• Annual bonus entitlement of 10% over an annual Gross salary (the amount of the bonus is based on achieving predetermined targets, connected with the overall company performance).
